Whale Club Terms and Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern your participation in the Whale Club Program (“Program”) organized by Exponential DeFi Trading LLC (“we,” “us,” or “our”). By participating in this Program, you agree to be bound by these Terms and any additional terms and conditions communicated to you during your enrollment in the Program. If you do not agree to these Terms, please do not participate in the Program.

2. Eligibility
The Program is open to Exponential users with an account who:
a. Are at least eighteen (18) years of age;
b. Have a valid and verifiable email address;
c. Have an active account on the Exponential DeFi investment platform, having passed ID verification;
d. Are eligible to invest through Exponential;
e. Have not been previously suspended or removed from our platform;
f. Accumulate a total of 100,000 USDC, or their equivalent value in any supported asset, in net deposits.
g. Receive a notification from Us that they are eligible to participate in the Program.

We reserve the right to continuously verify the eligibility of participants and to disqualify any participant who does not meet the eligibility criteria.

‍3. Boosted Rewards
The Boosted Reward ("Reward") is equal to a percentage ("Reward Rate") of the total net new investments made over the user's lifetime, subject to the Qualification Criteria set forth in section 3.1. Net new investments are defined as the USD-equivalent value of investments minus divestments made over the user's lifetime.

Reward Details:
a. When the user's total net new investments are equal or larger than $100,000 but smaller than $1,000,000, the Reward Rate is equal to 2%. When the user's total net new investments are equal or larger than $1,000,000, the Reward Rate is equal to 3%.
a. The Reward will be paid within 30 days after the user's investment orders cross the Qualification Threshold defined in section 3.1.
b. The payout will be calculated in as the total net new investments above the Threshold times the Reward Rate.
c. The Reward will be paid in the same asset (or comparable asset as determined by Us) as the qualifying investments (e.g., investments made in USDC will be rewarded in USDC).

3.1 Qualification criteria
Users must:
a. Complete net deposit and net investment orders that in total exceed 100,000 USDC in value, or their equivalent in BTC, ETH or SOL ("Qualification threshold").
b. Hold their investments balance for 365 calendar days after completing the investment orders without partially or fully withdrawing them from the platform.

3.2 Early Withdrawal Forfeiture
If a user withdraws any portion of their assets before the expiration of the 365 calendar days holding period specified in Section 3.1, the user will forfeit a proportional share of the Boosted Rewards corresponding to the withdrawn amount. Specifically, the Boosted Rewards applicable to the withdrawn assets will be lost, and only the rewards attributable to the portion of the investment that remains held for the full 365-day period will be retained. The forfeited rewards will be deducted from any subsequent Reward payouts.

3.3 Caps
The Program has a global cap of $10M in cumulative investments. Once the cap is reached, additional investments will no longer qualify for the Program.

4. Early access to new pools
Users enrolled in the Program will be the first ones to get notified whenever We list a new yield opportunity in the Platform. This notification will be sent as soon as a new opportunity is available and at least 5 calendar days prior to announcing it publicly. Users will be able to invest in such opportunities through the dedicated links sent to them via email. Opportunities are listed from time to time with no fixed schedule. The notification is by no means an offer, solicitation or financial recommendation to buy or sell any assets and is for informational purposes only. The user acknowledges the opportunities presented to them carry risk and investing in them is at their sole discretion.

5. DeFi Concierge
Each user will be assigned a dedicated point of contact ("Concierge") with the Exponential team. The Concierge is able to assist with general inquiries about the Platform, from the signup process to order statuses to requesting expedited order completion times, ad-hoc reports of their investments or in general any information about Exponential, the Platform or their investments data. The Concierge cannot and will not provide investment advice, tax consultations or any other activity for which licensing is required in the user's jurisdiction.

6. Termination and Changes
We reserve the right to modify or terminate this Program at any time. Any changes will be communicated to participants via email or our platform. In the case of suspected abuse or violation of these Terms, we may disqualify participants from the Program.

7. General Conditions
a. Program enrollment is limited to once per user.
b. We reserve the right to verify eligibility and to disqualify any participant who does not meet the eligibility criteria.
c. We may substitute the Reward with an alternative of equal or greater value if necessary.
d. We reserve the right to disqualify any user from the Program at any time if we suspect the user of committing fraud, abuse, or any violation of these Terms, or the Terms of Service of the Exponential platform. Any decisions made by us regarding disqualification shall be final and binding.
e. Participants are responsible for any applicable taxes in their local jurisdictions

8. Intellectual Property
All intellectual property rights in the Promotion, including but not limited to trademarks, trade names, designs, logos, and digital collectibles, are owned by us or our licensors. You may not use, reproduce, or distribute any of our intellectual property without our prior written consent.

9. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. The failure of Exponential to enforce any right or provision will not constitute a waiver of that right or provision.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
