1. Introduction
These Terms and Conditions ("Terms") govern your participation in the Reward Promotion ("Promotion") organized by Exponential DeFi Trading LLC ("we," "us," or "our"). By participating in this Promotion, you agree to be bound by these Terms and any additional terms and conditions communicated to you during the Promotion. If you do not agree to these Terms, please do not participate in the Promotion.

2. Eligibility
The Promotion is open to current Exponential users with an account who:
 a. Are at least eighteen (18) years of age;
 b. Have a valid and verifiable email address;
 c. Have an active account on the Exponential DeFi investment platform, having passed ID verification;
 d. Are eligible to invest through Exponential;
 e. Have not been previously suspended or removed from our platform;
 f. Fund their Exponential Wallet with Bitcoin over any of the supported blockchains


We reserve the right to verify the eligibility of participants and to disqualify any participant who does not meet the eligibility criteria. The Promotion is not available where prohibited by law.

3. Promotion Period
The Promotion is valid for all users that fund their Exponential wallet with Bitcoin over any of the supported blockchains on or after July 25, 2024. The Promotion is for a limited time only. The sign up period ends on September 3, 2024 at 11:59pm ET. The Promotion ends on September 3, 2025 at 11:59pm ET or if the Promotion Endpoint as defined in section 5 below is reached whichever happens first. Subject to that, Deposits made by September 3, 2024 are eligible for the Reward. We reserve the right to modify, adjust, extend or terminate the Promotion including but not limited to Terms, eligibility criteria, and payouts at any time, without notice and for any reason. We will make best efforts to provide a 24-hour advance notice in good faith of any such termination or modification to these Terms.

4. Participation 
To participate in the Promotion, you must sign up and create an account at Exponential, while passing all required verifications. You must complete on the Exponential Platform at least one deposit or investment transaction using Bitcoin over any of the supported blockchains as indicated in-app on our platform on or after the beginning of the Promotion Period until the Promotion Endpoint (“Qualifying Transaction”). Once the Qualifying Transaction has been completed you will be qualified to receive a Reward as stipulated in section 5 of these Terms. The Reward will only be credited to the balance of your account on our Platform, and notified by email to the address registered on our Platform once the Reward has been paid.

You must agree to the Exponential Platform Terms of Service (“Exponential Terms”) and meet all of the requirements to have an active account, including passing ID verification. We reserve the right to withhold the Reward payment indefinitely in case we determine that the Participant engaged in fraudulent or illegal activity, or in any way infringed the Promotion Terms and/or the Exponential Terms.

By participating in this Promotion, you acknowledge that there is no guarantee on the future value of your Qualifying Transaction, and you may lose money as your funds are subject to market fluctuations including the price of Bitcoin, and other unforeseeable events.

5. Reward
a.  The reward rate applicable to Qualifying Transactions is 3% annualized ("Annual Reward Rate"), paid monthly.
b. The reward rate is variable and can be changed at any time, without notice and for any reason. We will make best efforts to provide a 24-hour advance notice.
c. The Reward is paid for making Qualifying Transactions only and is a participation bonus. The Reward is not an investment return, nor is it dependent on how any particular Qualifying Transaction performs. Exponential does not invest, convert, hypothecate or otherwise use any Bitcoin that you use in any Qualifying Transaction. This Bitcoin is invested (if you so choose) at your sole direction and management.
d. The first $100M in Qualifying Transactions (taken in aggregate of all users) is eligible for the reward, after which the promotion ends (“Promotion Endpoint”). Qualifying Transactions price is calculated based on the market price of BTC at time of deposit displayed in the Exponential.fi wallet at the time of deposit.
e. The Reward is individual and credited upon completion of all qualification criteria set forth in section 4 Participation
f. The “Monthly Reward” will be credited to the users’ account balance within the first 10 days of each month. The “Monthly Reward” is defined as the sum of the “Daily Reward” in the prior calendar month. “BTC units” include BTC or WBTC held in your Exponential.fi wallet, and the value invested in BTC opportunities, expressed in BTC terms, with a minimum of 0.02 BTC and a maximum of 200 BTC. The Daily Reward is calculated daily as the “BTC Units” held on platform multiplied by the reward rate (3% at start) and divided by 365 days. No Daily Reward will be accrued for BTC Units held on platform below the 0.02 BTC minimum or above the 200 BTC maximum.
g. We reserve the right to substitute the Reward with an alternative reward of equal or greater value if circumstances beyond our control make it necessary to do so.
h. The Reward will normally be paid in WBTC tokens credited to a user’s Exponential account balance on our Platform, at the rate of 1 WBTC = 1 BTC.  We do not make any guarantees about the marketable value of WBTC tokens. The user can invest or withdraw the Reward payouts under the standard Exponential Terms.
i. Exponential reserves the right to change the Terms, eligibility criteria, and payouts for all promotions at any time, for any reason, including the form and/or asset of the Reward.

6. Intellectual Property
All intellectual property rights in the Promotion, including but not limited to trademarks, trade names, designs, logos, and digital collectibles, are owned by us or our licensors. You may not use, reproduce, or distribute any of our intellectual property without our prior written consent.

7. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any loss, damage, or injury whatsoever, whether direct or indirect, arising out of or in connection with your participation in the Promotion or receipt, use, or inability to use the Reward.

8. Changes to the Terms
We reserve the right to amend these Terms at any time without prior notice. Your continued participation in the Promotion constitutes your acceptance of the amended Terms.

9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
