Terms and Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern your participation in the Investment Match Promotion (“Promotion”) organized by Exponential DeFi Trading LLC (“we,” “us,” or “our”). By participating in this Promotion, you agree to be bound by these Terms and any additional terms and conditions communicated to you during the Promotion. If you do not agree to these Terms, please do not participate in the Promotion.
2. Eligibility
The Promotion is open to Exponential users with an account who:
a. Are at least eighteen (18) years of age;
b. Have a valid and verifiable email address;
c. Have an active account on the Exponential DeFi investment platform, having passed ID verification;
d. Are eligible to invest through Exponential;
e. Have not been previously suspended or removed from our platform;
f. Make a net new investment during the Investment Period between November 26, 2024 00:00 Eastern US Time, and December 6, 2024 23:59 Eastern US Time
We reserve the right to verify the eligibility of participants and to disqualify any participant who does not meet the eligibility criteria.
3. Investment Match Reward
Users who invest during the Investment Period will qualify for the Investment Match Reward ("Reward"), which is equal to 2% of the total net new investments made during the Investment Period. The Reward will be paid out over a period of 12 months (“Earning Period”) in equal installments of 1 twelfth of the total Reward each.
Reward Details:
a. The monthly payout will be one twelfth of the total Reward, which is calculated by multiplying the net new investment during the Investment Period by 2%.
b. The Reward will be paid out within the first 10 calendar days of each month, starting on January 2025.
c. The Reward will be paid in the same asset as the qualifying investments (e.g., investments made in USDC will be rewarded in USDC).
d. Any withdrawals made during the Investment or Earning Period will disqualify the user from earning the Reward.
4. Qualification Criteria
Users must:
a. Invest a minimum of 100 USDC (or the equivalent in USDT, BTC, or ETH) during the Investment Period.
b. Ensure that the total cumulative investments do not exceed 10,000,000 USDC or equivalent across all supported assets. In the case when, the cumulative investments exceed 10,000,000 USDC, the Investment Match Reward will be calculated based on the first 10,000,000 USDC in investments
c. Maintain their investment throughout the Earning Period without reducing their account balance to remain eligible for the monthly Reward payout.
5. Caps
The Promotion has a global cap of $100M (one hundred million) in cumulative investments during the Investment Period. Once the cap is reached, additional investments will no longer qualify for the Promotion.
6. Termination and Changes
We reserve the right to modify or terminate this Promotion at any time. Any changes will be communicated to participants via email or our platform. In the case of suspected abuse or violation of these Terms, we may disqualify participants from the Promotion.
7. General Conditions
a. Rewards are limited to one per user.
b. We reserve the right to verify eligibility and to disqualify any participant who does not meet the eligibility criteria.
c. We may substitute the Reward with an alternative of equal or greater value if necessary.
d. We reserve the right to disqualify any user from the Promotion at any time if we suspect the user of committing fraud, abuse, or any violation of these Terms, or the Terms of Service of the Exponential platform. Any decisions made by us regarding disqualification shall be final and binding.
e. Participants are responsible for any applicable taxes in their local jurisdictions
8. Intellectual Property
All intellectual property rights in the Promotion, including but not limited to trademarks, trade names, designs, logos, and digital collectibles, are owned by us or our licensors. You may not use, reproduce, or distribute any of our intellectual property without our prior written consent.
9. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. The failure of Exponential to enforce any right or provision will not constitute a waiver of that right or provision.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
